Qui Academy
Effective Date: 22 March 2026

Welcome to Qui Academy. These terms set out the rules for using our learning platform. By creating an account or purchasing a course, you agree to this Terms of Service agreement ("Agreement"). If you do not agree, please do not use the Platform.

1. What Qui Academy Offers

Qui Academy is an online learning platform providing courses, tutorials, certifications, and community features related to AI orchestration and cognitive architecture. We provide educational and informational content only — not professional services, advice, or access to third-party software platforms.

2. Eligibility & Your Account

2.1 Who Can Use Qui Academy

  • You must be at least 13 years old (or the minimum legal age in your jurisdiction) to create an account
  • If you are under 18, you must have parental or guardian consent
  • You must have the legal capacity to enter this Agreement

2.2 Account Security

You are responsible for all activity under your credentials. Notify us immediately at academy@qui.is if you suspect unauthorised use. We are not liable for your failure to safeguard your account.

2.3 Account Rules

No false information, duplicate accounts, or transfers without our written consent.

3. Using the Platform

3.1 Your License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Qui Academy for personal educational purposes in accordance with this Agreement and your membership level.

3.2 What You Can Access

  • Access to training materials is based on your membership tier
  • Downloaded materials are for personal use only
  • Course progress and certifications are tied to your account
  • Community features may have additional guidelines

3.3 What You Cannot Do

You will not (and will not allow anyone else to):

  • Copy, reproduce, or redistribute training materials without permission
  • Share account credentials or membership access
  • Record, screenshot, or capture premium content for redistribution
  • Resell or commercially exploit educational content
  • Create derivative works from our training materials
  • Use automated tools to scrape or download content
  • Remove proprietary notices or watermarks
  • Impersonate instructors or staff

3.4 Acceptable Use

You will not use Qui Academy to violate any law, post harmful or inappropriate content, infringe intellectual property rights, send spam, collect personal data without consent, interfere with the platform, or attempt unauthorised access to systems.

3.5 Community Guidelines

When participating in forums, discussions, or collaborative features: maintain professional and respectful communication, provide constructive feedback, respect diverse perspectives, do not share solutions to graded assignments, and report inappropriate behaviour to moderators.

4. Membership & Payments

4.1 Membership Tiers

Different membership levels provide varying access to content and features. Premium content requires an active paid membership. A free tier may have limited access.

4.2 Billing

  • Membership fees are billed according to your selected plan
  • All charges are final and non-refundable except as required by law or our Refund Policy
  • Memberships renew automatically at then-current rates unless cancelled before renewal
  • Free trials convert to paid memberships unless cancelled before the trial ends

4.3 Price Changes

We may change prices with 30 days' notice to existing members.

5. Certifications

  • Completion certificates may be issued for certain courses
  • Certificates reflect course completion, not professional certification
  • We reserve the right to revoke certificates for Terms violations
  • Qui Academy does not provide professional licenses, accredited degrees, or official certifications. Our training is for educational and informational purposes.

6. Third-Party Services

Educational content may reference third-party tools, services, or resources. We are not responsible for their availability, accuracy, or your use of them. Access to third-party services (including the QUI ecosystem) requires separate agreements with those providers.

7. Cancellation & Termination

7.1 By You

Cancel your membership at any time through your account settings. See our Refund Policy for details on refunds.

7.2 By Us

We may suspend or terminate your access for breach of these Terms, non-payment, academic dishonesty, disruptive behaviour, or to protect our interests or other users.

7.3 What Happens After Termination

  • Access to premium content ends immediately
  • Certificates remain valid unless revoked for cause
  • Sections that by nature survive (e.g., intellectual property, disclaimers) remain in effect

8. Intellectual Property

8.1 Our Content

We own all rights in Qui Academy services and content, including all training materials, curricula, and platform features.

8.2 Your Content

You retain rights to content you create and grant us a license to use it for providing services, including sharing in forums or as examples (with attribution where appropriate).

8.3 Feedback

Feedback about Qui Academy may be used by us to improve services.

9. Privacy

See our Privacy Policy, which is incorporated by reference into this Agreement.

10. Disclaimers

10.1 Educational Nature

Qui Academy provides educational and informational content only. We do not provide professional advice (legal, financial, medical, etc.), guaranteed outcomes or career placement, or official accreditation or degrees.

10.2 "As Is" Basis

Services are provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied (merchantability, fitness, accuracy, non-infringement, uninterrupted operation, etc.).

10.3 Content Accuracy

While we strive for accuracy, educational content may contain errors or become outdated. Verify important information independently.

11. Limitation of Liability

  • We are not liable for indirect, incidental, special, or consequential damages.
  • Our total liability is limited to the amount you paid us for Qui Academy membership in the 12 months before the claim.
  • You bear all risk for how you apply educational content, career or business decisions based on training, interactions with other members, and use of third-party tools mentioned in training.

12. Indemnification

You will defend and hold us harmless from claims arising from: (i) your use of services, (ii) your content, (iii) breach of this Agreement, (iv) violation of others' rights, (v) your interactions with other members, or (vi) your application of educational content.

13. Governing Law & Dispute Resolution

13.1 Governing Law

New Mexico law governs this Agreement.

13.2 Disputes

Email academy@qui.is first. If unresolved, send a Notice of Dispute by certified mail. If still unresolved after 60 days, either party may begin arbitration, administered by AAA under Consumer Arbitration Rules. Individual claims only.

BOTH PARTIES WAIVE JURY TRIAL AND CLASS ACTIONS.

14. Export Control & Compliance

You may not access Qui Academy from embargoed countries or if you are on restricted lists. You will comply with all applicable export control and sanctions laws.

15. General Provisions

  • Modifications: We may update these Terms with reasonable notice. Continued use indicates acceptance.
  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.
  • Severability: Invalid provisions will be modified to be enforceable; the remainder stays effective.
  • Assignment: We may assign this Agreement; you may not without our consent.
  • Force Majeure: We are not liable for events beyond reasonable control.

18. Definitions

For the purposes of this Agreement:

  • "Platform" or "Services" — the Qui Academy website, courses, community features, and related services
  • "Account" — your registered user account on Qui Academy
  • "Membership" — your subscription tier (free or paid)
  • "Content" — all materials provided through the Platform, including courses, text, images, and media
  • "Member Content" — content you create or submit through the Platform

Disclaimer

Qui Academy is an approved education vendor of Qui Intelligent Systems LLC (Georgia, Tbilisi, Vake district, University Street, N 17a, Floor 10, 0186). Qui Academy is operated by Global Passage LLC and is in no way indicating the ownership of intellectual property, or acting as a legal distributor of QUI ecosystem products and services.

Membership of Qui Academy does not provide access to the QUI ecosystem. The QUI ecosystem is a separate software platform provided by Qui Intelligent Systems LLC through qui.is that requires separate registration, separate payment and subscription, and acceptance of separate Terms of Service. Any references to QUI ecosystem features, tools, or capabilities in our educational content are for informational purposes only and do not grant access to those tools.

By creating an account or using Qui Academy, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
